Terms and Conditions

This agreement applies as between you, the User of this Website, and Biopensare Academy, operated under Biopensare Corp, the owner of this Website. Your agreement to comply with and be bound by Clauses 1, 2, 4–11, and 15–25 of these Terms and Conditions is deemed to occur upon your first use of the Website. Clauses 3 and 12–14 apply only to the sale of Services. If you do not agree to be bound by these Terms and Conditions, you must stop using the Website immediately.

No part of this Website is intended to constitute a contractual offer capable of acceptance. Your order constitutes a contractual offer, and Our acceptance of that offer is deemed to occur upon Our sending a confirmation email to you indicating that your order has been accepted.


1. Definitions and Interpretation

In this Agreement the following terms shall have the following meanings:
"Account": means collectively the personal information, Payment Information and credentials used by Users to access Paid Content and/or any communications System on the Website.
"Content": means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a computer that appears on or forms part of this Website.
"Facilities": means collectively any online facilities, tools, services or information that Biopensare Academy makes available through the Website either now or in the future.
"Services": means the services available to you through this Website, specifically use of the Biopensare Academy proprietary e-learning platform.
"Payment Information": means any details required for the purchase of Services from this Website. This includes, but is not limited to, credit/debit card numbers, bank account numbers and billing details.
"Premises": means our business location in Pembroke Pines, Florida, United States.
"System": means any online communications infrastructure that Biopensare Academy makes available through the Website either now or in the future. This includes, but is not limited to, web-based email, message boards, live chat facilities and email links.
"User" / "Users": means any third party that accesses the Website and is not employed by Biopensare Corp in the course of their employment.
"Website": means the website www.biopensareacademy.com and any official sub-domains of this site, unless expressly excluded by their own terms and conditions,  and
"We/Us/Our": means Biopensare Academy, operated under Biopensare Corp, a company incorporated in the State of Florida, United States.

2. Age Restrictions

Persons under the age of 18 should use this Website only with the supervision of an Adult. Payment Information must be provided by or with the permission of an Adult.

3. Business Customers

These Terms and Conditions also apply to customers procuring Services in the course of business.

4. Intellectual Property

4.1 Subject to the exceptions in Clause 5 of these Terms and Conditions, all Content included on the Website, unless uploaded by Users, including, but not limited to, text, graphics, logos, icons, images, sound clips, video clips, data compilations, page layout, underlying code, and software, is the property of Biopensare Academy, operated under Biopensare Corp, our affiliates, or other relevant third parties. By continuing to use the Website, you acknowledge that such material is protected by applicable United States and international intellectual property and other laws.

4.2 Subject to Clause 6, you may not reproduce, copy, distribute, store, or in any other fashion re-use material from the Website unless otherwise indicated on the Website or unless given Our express written permission to do so.

5.1 Unless otherwise expressly indicated, all Intellectual Property rights, including but not limited to Copyright and Trademarks, in product images and descriptions belong to the respective manufacturers or distributors of such products, as may be applicable.

5.2 Subject to Clause 6, you may not reproduce, copy, distribute, store, or in any other fashion re-use such material unless otherwise indicated on the Website or unless you have obtained express written permission to do so from the relevant manufacturer or supplier.

9.1.4 It is advised that all submissions and communications be made in the English language, as we may be unable to respond to inquiries submitted in other languages. However, Spanish-speaking users may receive responses in Spanish when appropriate. The means by which you identify yourself must not violate these Terms and Conditions or any applicable laws.

9.4 You acknowledge that any information you send to us through our System may be reviewed, modified, or adapted by us for operational purposes. By submitting such information, you grant Biopensare Academy a non-exclusive, royalty-free, worldwide license to use, reproduce, and adapt that information as necessary for the functioning of our Services. Any restrictions you wish to place upon our use of such information must be communicated to us in advance, and we reserve the right to reject such terms.

10. Accounts

10.1 In order to procure Services on this Website and to use certain other parts of the System, you are required to create an Account containing certain personal details and Payment Information. The specific information required may vary based upon your use of the Website, as we may not require payment information until you make a purchase. By continuing to use this Website, you represent and warrant that:
10.1.1 All information you submit is accurate and truthful.
10.1.2 You have the legal right and/or permission to submit Payment Information where such permission may be required.
10.1.3 You will keep this information accurate and up-to-date.
Your creation of an Account constitutes further affirmation of these representations and warranties.
10.2 It is strongly recommended that you do not share your Account details, particularly your username and password. We accept no liability for any losses or damages incurred as a result of your Account details being shared by you. If you use a shared computer, it is recommended that you do not save your Account details in your internet browser.
10.3 If you have reason to believe that your Account details have been obtained by another person without consent, you must contact us immediately so that we may suspend your Account and cancel any unauthorized orders or payments that may be pending. Please note that orders or payments can only be cancelled up until the provision of Services has commenced. If Services have already commenced before you notify us, Biopensare Academy reserves the right to charge you for the period of provision up to the date you notified us and, where applicable, for one full billing cycle.
10.4 When choosing your username, you are required to adhere to the terms set out in Clause 9 above. Any failure to do so may result in the suspension and/or deletion of your Account.

11. Termination and Cancellation of Accounts

11.1 Either Biopensare Academy, operated under Biopensare Corp, or you may terminate your Account. If we terminate your Account, you will be notified by email and, where reasonably possible, an explanation for the termination will be provided. Notwithstanding the foregoing, we reserve the right to terminate your Account at our sole discretion without providing specific reasons.
11.2 If we terminate your Account, any current or pending orders or payments associated with your Account will be cancelled, and the provision of Services will not commence or will cease immediately.

12. Services, Pricing and Availability

12.1 Whilst every effort has been made to ensure that all general descriptions of Services available from Biopensare Academy, operated under Biopensare Corp, correspond to the actual Services that will be provided to you, we are not responsible for minor variations from these descriptions, as the exact nature of the Services may vary depending on your individual requirements and circumstances. This does not exclude our liability for errors caused by negligence on our part and refers only to reasonable variations of the correct Services, not the provision of entirely different Services. Please refer to sub-Clause 13.8 for provisions regarding incorrect Services.
12.2 Where appropriate, you may be required to select the specific Plan of Services applicable to your purchase.
12.3 We neither represent nor warrant that such Services will be available at all times and cannot necessarily confirm availability until your Order has been accepted and confirmed. Service availability may also depend on scheduling, technical requirements, and other operational factors.
12.4 All pricing information on the Website is correct at the time of publication. We reserve the right to change prices and to alter, suspend, or remove any special offers from time to time as necessary.
12.5 In the event that prices change between the time an order is placed and the time we process that order and take payment, the price applicable shall be the price valid at the time the order was placed.

13. Orders and Provision of Services

13.2 Upon acceptance of your order, we will provide you with the following information in writing:
13.2.1 Confirmation of the Services ordered, including full details of the main characteristics of those Services.
13.2.2 Fully itemised pricing for the Services ordered, including, where appropriate, taxes, delivery, and other additional charges.
13.2.3 Relevant times and dates for the provision of the Services.
13.2.4 User credentials and relevant information for accessing those Services.



13.3 If we, for any reason, do not accept your order, no payment shall be taken under normal circumstances. In any event, any sums paid by you in relation to that order will be refunded within 14 calendar days.

13.4 Payment for the Services shall be taken via your chosen payment method:


  • immediately for any setup fee that corresponds to the service plan you purchased, and

  • on the same day of each subsequent month (“billing cycle”) for charges accrued during the previous month (“billing cycle”),
    AND/OR as indicated in the order confirmation you received.

13.5 We aim to fulfill your Order within 2–3 working days or, if not, within a reasonable period following your Order, unless there are exceptional circumstances. If we cannot fulfill your Order within a reasonable period, we will inform you at the time you place the Order by a note on the relevant web page or by contacting you directly after you place your Order. Time is not of the essence of the Contract, which means we will aim to fulfill your Order within any agreed timescales, but this is not an essential term of the Contract and we will not be liable to you if we do not do so. If the Services are to begin within 14 calendar days of Our acceptance of your order, at your express request, you will be required to expressly acknowledge that your statutory cancellation rights, detailed in Clause 14, will be affected.

13.6 Biopensare Academy, operated under Biopensare Corp, shall use all reasonable endeavors to provide the Services with reasonable skill and care, consistent with best industry practices.

13.7 In the event that Services are provided that are not in conformity with your Order and are therefore incorrect, you must contact us immediately to inform us of the error. We will ensure that any necessary corrections are made within five (5) working days. Additional terms and conditions may apply to the provision of certain Services, and you will be asked to read and confirm your acceptance of any such terms when completing your Order.

13.8 Biopensare Academy provides technical support via our online help desk, email, and/or phone. While we make every effort to respond in a timely manner, please allow 24 to 72 business hours for a response. We do not guarantee a specific response time.

14. Cancellation and Refunds of Orders and Services

14.1 You may request a full refund within 3 calendar days of your purchase, provided that you have not accessed any course materials, modules, or certification resources, and you have not submitted any exams, quizzes, or assessments.

14.2 By completing your purchase, you acknowledge and agree that:
14.2.1 Once your account has been created and course materials have been accessed, your enrollment is considered final and binding.


14.2.2 After the 3-day period has expired, you waive any right to cancellation or refund.
14.2.3 Refund requests must be submitted in writing to admin@biopensareacademy.com within the specified timeframe. Approved refunds will be processed within 5 business days.
14.3 Exceptions may also be made in the following cases:
14.3.1 Duplicate payments for the same course.
14.3.2 Verified technical errors that prevent access to the course. Such cases must be reported in writing within 7 calendar days of purchase.
14.4 By enrolling in a Biopensare Academy program, you affirm your understanding that these are professional-level certifications, and as such, all sales are considered final once access has been granted.

15.1 Use of the Website is also governed by our Privacy Policy (www.biopensareacademy.com/privacy), which is incorporated into these Terms and Conditions by this reference. To view the Privacy Policy, please visit the link provided.

16. How We Use Your Personal Information (Data Protection)

16.1 All personal information that we may collect (including, but not limited to, your name, email address, billing details, and contact information) will be collected, used, and stored in accordance with applicable data protection laws, including the California Consumer Privacy Act (CCPA), the General Data Protection Regulation (GDPR) for users in the European Union, and any other relevant privacy regulations.
16.2 We may use your personal information to: Provide and manage access to our Services and Website. Process your orders and payments. Communicate with you regarding your account, enrollment, or support inquiries. Send you important service updates, policy changes, or administrative information. With your consent, send you marketing communications and information about new courses, programs, or offers. Monitor usage of our Services for quality control, security, and improvement purposes.

16.2.2 Process your payments for the Services. 16.2.3 Communicate with you regarding your account, enrollment, and any customer support inquiries.

16.2.5 Comply with legal obligations, resolve disputes, and enforce our agreements.
  • 16.3 In certain circumstances (if, for example, you wish to purchase Services on credit), and with your consent, We may pass your personal information on to credit reference agencies. These agencies are also bound by the Data Protection Act 1998 and should use and hold your personal information accordingly.
  • 16.4 We will not pass on your personal information to any other third parties without first obtaining your express permission.

19. Availability of the Website

19.1 The Website is provided “as is” and on an “as available” basis. Biopensare Academy, operated under Biopensare Corp, uses industry best practices to provide high uptime, including a fault-tolerant architecture hosted in secure cloud servers. However, we make no warranty that the Website or Facilities will be free of defects, interruptions, or faults, and we do not provide any form of refund or compensation for outages. We provide no warranties, whether express or implied, including but not limited to warranties of fitness for a particular purpose, accuracy of information, compatibility, or satisfactory quality.
19.2 We accept no liability for any disruption, downtime, or non-availability of the Website caused by external factors, including but not limited to: ISP equipment failure, host server failure, communications network failure, power outages, natural disasters, acts of war, government restrictions, or censorship.

20. Limitation of Liability

20.1 To the maximum extent permitted by law, we accept no liability for any direct or indirect loss or damage, foreseeable or otherwise, including any incidental, consequential, special, or exemplary damages arising from the use of the Website, the Services, or any information contained therein. You acknowledge that you use the Website and its Content entirely at your own risk.
20.2 Nothing in these Terms and Conditions excludes or restricts the liability of Biopensare Academy, operated under Biopensare Corp, for death or personal injury resulting from negligence or for fraud or fraudulent misrepresentation.
20.3 Nothing in these Terms and Conditions excludes or restricts the liability of Biopensare Academy for direct losses or damages arising out of the incorrect provision of Services or reliance on materially incorrect information that we have provided on the Website.
20.4 In the event that any provision of these Terms and Conditions is found to be unlawful, invalid, or otherwise unenforceable, that provision shall be deemed severed from these Terms and Conditions. The validity and enforceability of the remaining provisions shall not be affected. This clause shall apply only within jurisdictions where a particular provision is illegal

21. No Waiver

21. No Waiver In the event that either party to these Terms and Conditions fails to exercise any right or remedy contained herein, such failure shall not constitute a waiver of that right or remedy, and shall not prevent the party from later enforcing it or any other rights or remedies.

22. Previous Terms and Conditions

22. Precedence of Terms In the event of any conflict between these Terms and Conditions and any prior versions thereof, the provisions of the most recent version of these Terms and Conditions shall prevail, unless it is expressly stated otherwise in writing.

23. Third Party Rights

Nothing in these Terms and Conditions shall confer any rights upon any third party. The agreement created by these Terms and Conditions is solely between you and Biopensare Academy, operated under Biopensare Corp.

24. Communications

24.1 All notices or communications shall be given to us by email at admin@biopensareacademy.com. Such notice will be deemed received:

  • on the same business day if the email is received in full during business hours, or

  • on the next business day if the email is sent on a weekend or public holiday.

Please allow 24 to 72 business hours for a response to any communication.

24.2 We may, from time to time and if you have opted to receive it, send you information about our products and/or services. If you no longer wish to receive such information, you may unsubscribe at any time by clicking the “Unsubscribe” link in any email communication you receive from us. All communications will be managed in accordance with our Privacy Policy.


25. Certificate Delivery

25.1 All students who successfully complete their program and pass the required assessments will receive a free digital certificate, available for download directly from their student account.

25.2 A printed certificate may also be requested:
25.2.1 Printed certificates are shipped free of charge within the United States.
25.2.2 For international students, printed certificates can be shipped for an additional fee. A shipping quote can be requested by contacting our support team at admin@biopensareacademy.com.

25.3 Biopensare Academy is not responsible for postal delays or non-delivery of printed certificates once they have been dispatched.

25.4 To request a printed certificate, students must:

  • Submit a written request by email to admin@biopensareacademy.com after successfully completing their program.

  • Include their full name as enrolled, program title, and current mailing address.

  • Allow 2–3 weeks for processing and delivery within the United States, or longer for international shipping.

26. Payment Options

26.1 We offer a variety of secure payment methods for your convenience:

  • Credit Cards: Visa, Mastercard, Discover, and American Express.

  • Debit Cards: Most major debit cards are accepted.

  • Stripe: Secure payment processing for credit and debit cards.

  • PayPal: Available for international customers and those who prefer this option.

26.2 Please note:

  • We do not accept personal checks, wire transfers, or money orders.

  • All programs must be prepaid in full before certificates are released.

  • Company checks may be accepted for purchase orders over $1,000. For submission instructions, please contact admin@biopensareacademy.com.

  • EU customers: Due to Strong Customer Authentication (SCA) regulations, some credit card transactions may be declined. If you encounter issues, please try purchasing via PayPal.

26.3 Failure to complete payment in full will result in denial of access to the program and no certificate will be issued.



27. Gift Certificate Redemption

27.1 Gift Certificates may only be redeemed toward the purchase of eligible programs on www.biopensareacademy.com. Purchases are deducted from the Gift Certificate balance. Any unused balance will be stored as Store Credit in the recipient’s account for future use. If an order exceeds the value of the Gift Certificate, the remaining balance must be paid with an accepted credit or debit card.

27.2 Limitations

  • Gift Certificates cannot be used to purchase other Gift Certificates.

  • Gift Certificates cannot be resold, transferred for value, redeemed for cash, or applied to any other account, except as required by law.

  • Unused Gift Certificate balances are not transferable and are not redeemable for cash.

  • Gift Certificate recipients have up to five (5) years from the issue date to redeem them toward the purchase of eligible programs on www.biopensareacademy.com.



28. Retest Policy

28.1 Students must achieve a minimum score of seventy-five percent (75%) to pass the certification exam.

28.2 Students are allowed up to three (3) exam attempts at no cost in order to meet the required passing score.

28.3 Beginning with the fourth (4th) attempt, a retesting fee of $99 will be charged for each additional attempt.

28.4 All retesting fees must be paid in full prior to unlocking a new exam attempt.

28.5 Retake Process:

  • Students must submit a Retake Request by email to admin@biopensareacademy.com within 7 calendar days of receiving their exam results.

  • Once the request is approved, instructions for payment (if applicable) and scheduling the retake will be provided.

  • Access to the retake will be granted only after confirmation of payment (for attempts beyond the third).

28.6 Students who fail to achieve the passing score after multiple attempts acknowledge that successful completion of the exam is a requirement for certification. Biopensare Academy reserves the right to require re-enrollment in the program if exam requirements are not met within a reasonable number of attempts.


29. Law and Jurisdiction

29. Governing Law & Jurisdiction These Terms and Conditions and the relationship between you and Biopensare Academy, operated under Biopensare Corp, shall be governed by and construed in accordance with the laws of the State of Florida, United States. You and Biopensare Academy agree to submit to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida, for the resolution of any disputes arising out of or relating to these Terms and Conditions.
